Position Title: Legal and Compliance Officer

Company: National Venture Capital Company of Zimbabwe

Key Responsibilities

1.  Legal Advisory and Support

    - Provide legal guidance to management and departments.

    - Monitor legal and regulatory changes affecting company operations.

    - Ensure all activities comply with laws governing venture capital.

2.  Contract Management

    - Draft, review and negotiate contracts and agreements (e.g., MOUs, shareholder/investment agreements).

    - Maintain a centralized contract repository and ensure compliance reviews.

    - Safeguard company interests in all legal documents.

3. Corporate Governance & Company Secretarial Support

    - Assist in drafting and reviewing governance documents (e.g., charters, policies).

    - Ensure adherence to corporate governance standards.

    - Support board and committee secretarial functions.

4.  Regulatory Compliance & Liaison

    - Ensure timely filing of statutory returns and compliance with regulatory bodies (e.g., RBZ, ZIMRA, SECZ).

    - Maintain compliance registers and develop monitoring plans.

    - Act as liaison with regulators and other oversight bodies.

5.  Risk Management & Litigation

    - Identify and mitigate legal and compliance risks.

    - Support dispute resolution, litigation, and liaise with external counsel.

    - Participate in risk assessments and policy development.


Requirements

1. LLB Degree/Equivalent.

2. Recognised member of the Law Society of Zimbabwe.

3. At least 2 years in progressively responsible legal and compliance roles.

4. Valid Class 4 Driver's Licence.
